1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Spotip, a market intelligence platform for hospitality founders operated by spotip.io ("we", "our", or "us"). By creating an account or using the service, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the service.

You must be at least 18 years old to use Spotip. By using the service, you confirm that you meet this requirement.

2. Account Registration

To access Spotip, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Keep your password secure and not share it with others
  • Not create multiple accounts or share your account with other people
  • Not use automated tools to create accounts
  • Notify us immediately at support@spotip.io if you believe your account has been compromised

You are responsible for all activity that occurs under your account. We may suspend or terminate accounts that violate these Terms.

3. Service Description

Spotip is a market gap analysis tool designed for food and beverage business founders. The service:

  • Analyses venue density, ratings, pricing, and operating hours in a chosen neighbourhood
  • Sources venue and review data from the Google Maps API
  • Uses AI (OpenAI) to generate market narrative summaries and insights
  • Provides scoring to identify potential market gaps and opportunities

We make the service available on a best-effort basis and do not guarantee uninterrupted or error-free access. We may update, modify, or discontinue features at any time.

4. Acceptable Use Policy

You may use Spotip for lawful business research, market analysis, and location scouting purposes. The following uses are prohibited:

  • Scraping, crawling, or automated extraction of data from the service
  • Reverse engineering, decompiling, or attempting to extract our source code
  • Reselling, redistributing, or sublicensing reports or outputs to third parties
  • Using the service to harass, abuse, or harm others
  • Submitting fraudulent, misleading, or false information
  • Circumventing quota limits or access restrictions
  • Violating the intellectual property or privacy rights of third parties
  • Using the service for any unlawful purpose

We reserve the right to suspend or terminate accounts that violate this policy.

5. Subscription & Billing

5.1 Plans & Pricing

Spotip offers the following subscription tiers:

  • Starter (free) — 3 analyses/month, 50 venues per analysis, up to 1 km² search area, 30-day data retention
  • Pro — 20 analyses/month, 200 venues per analysis, up to 3 km² search area, 90-day data retention
  • Business — unlimited analyses, 500 venues per analysis, up to 5 km² search area, 365-day data retention

5.2 Payment & Renewal

Paid subscriptions are billed monthly or annually, depending on your chosen billing cycle. Subscriptions renew automatically at the end of each billing period unless you cancel beforehand. Payments are processed by Stripe.

5.3 Refunds

If you are unsatisfied with your paid subscription, you may request a pro-rated refund within 14 days of your most recent billing date by contacting billing@spotip.io. Refunds are not available after 14 days.

5.4 Downgrades & Cancellation

You can downgrade or cancel your subscription at any time from your account settings. Downgrades take effect at the end of your current billing cycle. Cancellation stops future charges; you retain access until the end of the period you have paid for.

5.5 Failed Payments

If a payment fails, we will retry the charge and notify you by email. You have a 7-day grace period to update your payment method before your account is downgraded to Starter.

5.6 Quota & Area Limits

Each subscription tier includes a defined number of analyses per month and a maximum search area. Unused analyses do not roll over. Quota and area limits are enforced automatically. Current limits are listed in section 5.1 above.

6. Intellectual Property

6.1 Our Property

Spotip and all associated code, design, branding, and content are owned by spotip.io. You may not copy, reproduce, or create derivative works from the platform or its design without our written permission.

6.2 Your Content

You retain ownership of your business concepts and search queries. You grant us a limited, non-exclusive licence to process this data solely to deliver the service to you.

6.3 Generated Reports

You are granted a personal licence to use reports generated by Spotip for your own internal business purposes. You may not resell, publish, or redistribute these reports. We retain the right to use anonymised, aggregated data from analyses to improve the service.

6.4 Third-Party Data

Venue and review data is sourced from Google Maps and is subject to Google's Terms of Service. AI synthesis is subject to OpenAI's Terms. We make no claim of ownership over this data.

7. Data Accuracy & Disclaimers

Spotip is provided "as is" without warranties of any kind, express or implied. In particular:

  • Third-party data: venue data from Google Maps may be incomplete, outdated, or inaccurate. We do not control this data and cannot guarantee its accuracy.
  • AI-generated insights: market narratives and gap scores are generated by AI and are suggestions only, not professional business or investment advice. You should verify all data independently before making business decisions.
  • No guarantee of success: use of Spotip does not guarantee business success. Market conditions change and analysis reflects a point-in-time snapshot.

8. Limitation of Liability

To the fullest extent permitted by law, spotip.io shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: loss of profits, loss of data, business interruption, or loss of goodwill.

Our total liability for any claims arising from your use of Spotip shall not exceed the amount you paid to us in the 12 months preceding the claim.

Nothing in these Terms limits our liability for fraud, gross negligence, or death or personal injury caused by our negligence.

9. Indemnification

You agree to indemnify, defend, and hold harmless spotip.io and its officers, employees, and agents from and against any claims, liabilities, damages, and expenses (including legal fees) arising from:

  • Your violation of these Terms
  • Any business decisions you make based on Spotip reports
  • Your violation of any third-party rights

10. Termination

10.1 By You

You can cancel your account at any time from your account settings. This stops future charges and, after the retention period, deletes your data.

10.2 By Us

We may suspend or terminate your account immediately if you:

  • Violate these Terms
  • Fail to pay after the grace period
  • Use the service fraudulently or abusively
  • We are required to by law

10.3 Effect of Termination

On termination, your access to the service ends. Your data will be deleted in accordance with our data retention policy (see Privacy Policy §5). No refund is provided for any partial month of service.

11. Changes to Terms

We may update these Terms at any time. For material changes, we will notify you by email and display a banner in the app at least 30 days before the changes take effect. Continued use of the service after the effective date constitutes acceptance. If you disagree with the changes, you may cancel your account before the effective date.

12. Dispute Resolution

These Terms are governed by the laws of Ireland and the European Union. Any disputes shall first be resolved through good-faith negotiation. If not resolved, disputes shall be submitted to the exclusive jurisdiction of the courts of Ireland.

For EU consumers, disputes may also be submitted to the EU Online Dispute Resolution platform.

13. Miscellaneous

  • Entire agreement: these Terms, together with our Privacy Policy, constitute the entire agreement between you and spotip.io regarding the Spotip service.
  • Severability: if any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
  • No waiver: our failure to enforce any provision does not constitute a waiver of our right to do so in the future.
  • Assignment: we may assign or transfer these Terms to a successor entity. You may not assign your rights under these Terms.
  • Force majeure: we are not liable for delays or failures caused by events beyond our reasonable control.
